Webfont Licence Terms

These Webfont Licence Terms form an agreement between Emma Rodriguez Studio (“we”, “us” or the “Licensor”) and the person or organisation identified during checkout (“you”, the “Licensee”).
By purchasing a Webfont Licence, accepting these terms and downloading or using the font files, you agree to be bound by these terms.
1. Your licence
After receiving the full £50 GBP licence fee, we grant you a limited, non-exclusive, non-transferable and non-sublicensable licence to use the font identified in your order (the “Licensed Font”) on the single website or domain identified during checkout (the “Licensed Domain”).
You are purchasing permission to use the Licensed Font. You are not purchasing ownership of the font, its design, its software or its intellectual-property rights.
Each Licensed Font and each additional domain requires a separate Webfont Licence.
2. Permitted use
This licence permits you to:
Install and self-host the supplied webfont files for use on the Licensed Domain.
Display the Licensed Font through CSS, including through @font-face.
Use the Licensed Font across pages belonging to the Licensed Domain.
Use the Licensed Font on subdomains belonging to the Licensed Domain.
Use a private development or staging version of the Licensed Domain solely to prepare or test the licensed website.
Allow a web designer or developer to install the files on your behalf, provided they comply with these terms and delete their copies when their work is complete.
The webfont files must be used only to display text on the Licensed Domain.
3. Uses not included
This licence does not permit:
Desktop use, including installing the font on a computer for use in design software, documents, images, PDFs, artwork or printed material.
Use in mobile applications, desktop applications, software, games or electronic publications.
Use on a website or domain other than the Licensed Domain.
Use by a parent company, subsidiary, client or other organisation that is not the named Licensee.
Uploading the font to Canva, Adobe Express, Figma or another third-party design platform.
Creating products or templates that allow another person to use, edit, extract or access the font.
Converting the font into another format except where we have given prior written permission.
Modifying, adapting, reverse-engineering, decompiling or creating derivative versions of the font.
Selling, sharing, lending, gifting, sublicensing or distributing the font files.
Making the font files available for public download or allowing them to be accessed independently from the Licensed Domain.
Using the font as part of a trademark or registered logo without a separate written agreement.
Desktop, application and other uses require an appropriate additional licence if and when those licences become available.
4. Protecting the font files
You must take reasonable steps to prevent unauthorised access to or distribution of the Licensed Font.
Webfont files must be hosted securely and configured, where reasonably possible, so they can only be requested by the Licensed Domain. You must not intentionally publish a direct download link to the font files.
If you become aware that the font files have been copied, shared or used without permission.
5. Licence information
You confirm that all information supplied during checkout—including the Licensee’s name, company or trading name, email address and Licensed Domain—is complete and accurate.
The personalised licence document records the authorised Licensee, Licensed Font and Licensed Domain. It does not expand the permissions granted by these terms.
You must contact us if your business name or domain changes. A licence cannot be transferred to a different person, organisation or domain without our prior written permission. An additional licence fee may apply.
6. Ownership
The Licensed Font and all associated intellectual-property rights remain the exclusive property of Emma Rodriguez Studio and/or the relevant rights holder.
No copyright, design right, trademark or other ownership right is assigned to you. All rights not expressly granted under these terms are reserved.
7. Licence duration
The licence begins once payment has been completed and continues unless it is terminated under these terms.
If you permanently stop using the Licensed Font, you must remove the webfont files from the Licensed Domain, servers, backups under your control and any development environments where they remain accessible.
8. Breach and termination
We may terminate this licence if you materially breach these terms.
Where the breach can reasonably be corrected, we may ask you to correct it within 14 days. If it is not corrected within that period, the licence will terminate automatically.
We may terminate the licence immediately where the font has been deliberately distributed, resold, sublicensed or used on unlicensed domains.
Following termination, you must immediately stop using the Licensed Font and delete all copies in your possession or control. Termination does not prevent us from pursuing any rights or remedies relating to an earlier breach.
9. Digital delivery and cancellation
The Licensed Font and personalised licence document are digital content supplied electronically.
If you are purchasing as a consumer, you will be asked to expressly consent to delivery beginning before the end of the statutory cancellation period and to acknowledge that you may lose your right to cancel once delivery begins. This reflects the requirements applying to immediately supplied digital content under the UK Consumer Contracts Regulations. Consumer Contracts Regulations 2013, regulation 37
Nothing in these terms excludes or limits any statutory rights that cannot legally be excluded.
10. Font updates and support
Unless expressly stated on the product page, the licence fee does not include customised font files, design services, website installation, technical support or future font versions.
We may provide corrections or updated files at our discretion, but we are not obliged to develop new features, character sets, formats or versions.
11. Warranties and liability
We confirm that we have the right to grant this licence.
You are responsible for checking that the Licensed Font is suitable for your website, systems, languages, browsers and technical requirements before using it in a live environment.
To the fullest extent permitted by law, we are not responsible for indirect or consequential loss, loss of profits, loss of business, loss of data or website interruption arising from the use of the Licensed Font.
Where liability can lawfully be limited, our total liability relating to this licence will not exceed the licence fee you paid for the affected Licensed Font.
Nothing in these terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot legally be limited.
12. General terms
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A failure or delay in enforcing a provision does not waive the right to enforce it later.
These terms and the personalised licence document constitute the agreement relating to your Webfont Licence. If the documents conflict, these terms will apply unless we expressly agree otherwise in writing.
13. Governing law
These terms are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction, except where applicable consumer law permits you to bring proceedings in another part of the United Kingdom or in your country of residence.
